Who are we?

Sanlam Specialised Finance (SanFin) is responsible for creation of shared value for Sanlam, its shareholders, policy holders, and societies with in which it operates by managing financial risk, developing financial products, and balance sheet optimisation, pursuing investments and financing opportunities in assets, sectors, markets, organisations, and geographies that enable maximum return within acceptable risk parameters.

What will you do?
Working across the SanFin and Sanlam Investments businesses with respect to over-the-counter derivatives and exchange traded derivatives investments.
Widespread experience in negotiating and advising on derivatives and ancillary trading documentation is essential, including:
Global Master Securities Lending Agreement;
Global Master Repurchase Agreements.
Over-the-counter derivatives trading agreements including ISDA Master Agreements, Credit Support Annexes, margining agreements, clearing arrangements, trade confirmations and master confirmation templates;
Futures agreements, exchange traded agreements, intermediation/give up arrangements;
Prime brokerage arrangements;

Liaising internally with internal teams throughout derivative negotiation process to ensure that terms are within agreed parameters and operational requirements.

Keeping up to date with derivative-based regulatory change and rules in the various markets in which Sanlam operates globally, in particular: EMIR, Dodd Frank, SA derivative legislation (such as notices under the Financial Markets Act, Regulation 28 and the Banks Act).

Provide legal advice, manage legal and reputational risk, and assist with the negotiation of derivative counterparty relationships and transactions.
General legal and regulatory advice on contracts and issues associated with running an investment management business.
Ensure that internal policies and procedures are upheld in respect of each derivative counterparty relationship and transaction.
Provide comprehensive legal support to internal and external legal counsel in respect of derivatives.

Appoint, manage and oversee external legal counsel (both international and local) and actively managing the instruction of such external lawyers with a view to minimizing expenditure on external suppliers.

Assisting the business with post-trade issues and discrepancies arising from trade confirmations and collateral disputes with derivative counterparties.

On boarding new funds/clients to derivative trading documentation, including assistance with legal issues relating to regulatory classification of counterparties and applicable margining rules.

Drafting of Agreements.

Technical/ Professional Knowledge and Experience

LLB degree or equivalent with 5 or more years related experience specifically in the derivatives space with demonstrated negotiation and regulatory interpretation skills.

Derivatives/ Banking knowledge
Legal risk and practice management
Regulatory and legal principles
Management information and reporting principles, tools and mechanisms
Qualification and Experience Registered Attorney with 5 years related experience.

Knowledge and Skills Risk Management Compliance and legal projects management Legal advice and documentation reviews Coordinates legal action that may require external legal assistance Utilises negotiation and communication skills and related, risk, financial and legal expertise in the management of the client relationships.
