Management of the Concession Agreement between the Gauteng Provincial Government and the Private Party, particularly with regards to monitoring the execution of Party obligations and identifying those enforceable rights that enable the fulfilment of the Province’s mandate on the Gautrain Project throughout the lifecycle of the Project (construction and operational phases). Monitoring and management of obligations that arise from the Concession Agreement between the Gauteng Department of Transportation and the Private Party, Bombela Concession Company (‘the Concessionaire’). • Development of internal processes detailing the relevant organizational stakeholders’ roles within dispute and mediation related processes and monitoring compliance with processes from inception to resolution. • Conducting legal research, engaging with the affected business units within the organization and reporting on the approach to be adopted by the Province. • Management of all commercial with the Private Party and relevant stakeholders to the Project; attendance to legal issues pertaining to correspondence; attending to preparation of opinions that relate to managing or enforcing the Province's rights in terms of the Concession Agreement. • Development of a repository for all correspondences, as-builts, technical reports exchanged between Parties, all agreements existing between the Parties and outsourced companies and subsidiaries. • Monitor Project support contracts relevant to the Commercial Business Unit, including preparation of monthly reports detailing expenditure to date and monitor payments made per milestone achieved; • Participation in the Performance Incentive Committee for purposes of providing inputs of Project Event Disputes progress and conclusions and providing feedback on applicable penalties and impact on the patronage guarantee; reporting to the Commercial Disputes Team consisting of unit heads and the CEO and COO; participation in the bid specification committee by providing inputs to be implemented in bid documentation relating to legal and commercial; member of the close out of the current concession agreement team and provided commercial requirements relevant for closing out the PPP Agreement; • Providing commercial support in respect of legal issues arising within the different business units of the organization, and assessing the implications of those issues in terms of the Concession Agreement; • Monitoring the Concessionaire's compliance with Socio Economic Development obligations established in terms of the Concession Agreement; • Informing what the Province's Economic Development priorities obligation, political demand, terms of best practice [defining what it is and what is required to comply]; • Consideration of the legislative regime applicable to economic development environment, for purposes of aligning the post 2026 Concessionaire's SED objectives; Attendance to assisting the Technical unit of the Organization with action against the Concessionaire for breach of obligations, and all other projects needs required to assist the other units within the business. Member of the post-2026 Project and appointment; Assisting the Commercial and Corporate Unit of the Business as it pertains to legal research, providing legal review, reporting on any assistance which may be required within the unit.
