POSITION:
Assistant Company Secretary & Compliance Officer


REPORTING TO:
Group Company Secretary, Legal and Compliance


JOB PURPOSE:


To assist the Group Company Secretary in ensuring that the company is in compliance with its regulatory and legal requirements as well as internal policies by working together with relevant stakeholders to identify and manage regulatory risks.


KEY PERFORMANCE AREAS

Duties include but will not be limited to:

  • Assistant Company Secretarial duties:_
  • Ensure accurate recordkeeping of company documents, registers, resolutions, and minute books to comply with the Companies Act, 2008 (Act No. 71 of 2008);
  • Provide company secretarial duties while providing overall administrative support to the Group Company Secretary with the administration, regulatory compliance, meeting management, corporate governance, and related services to the Group;
  • Be responsible for the administration of all private and confidential company secretarial matters, including taking minutes as required;
  • Draft and/or review ordinary and special resolutions, maintain resolution registers and circulated resolutions for signature on Diligent;
  • Coordination and management of all board, committee, and shareholder meetings. The handling of all preparations incidental to board, committee, and shareholders' meeting;
  • Prepare and maintain the annual board and committee meeting calendar and the planning schedules.
  • Collate documents for the meeting packs from the relevant role players;
  • Assist with Annual Return filings and other CIPCrelated matters; and
  • Provide overall assistance to the Group Company Secretary.
  • Compliance Officer duties:_
  • To assist with the responsibility for the design and implementation of systems and controls to ensure compliance with all relevant legislation and regulations impacting the Group;
  • Develop, document, update as well as maintain groupwide compliance, regulatory protocols and policies. Review of all critical
business policies from a regulatory compliance perspective and make recommendations for improvement;

  • Responsible for overall compliance advice to Management to ensure compliance with all applicable legislation, regulations, policies and procedures;
  • Regulatory follow up on issues identified and raised to ensure resolution of corrective actions;
  • Ability to assist with the implementation, compliance, and monitoring of the Protection of Personal Information Act, Competition Act and Consumer Protection Act;
  • Communicate effectively and efficiently with relevant internal parties
and departments to support seamless integration of compliance management by encouraging and facilitating cooperation;

  • Draft and review contracts in line with applicable company requirements and legislation;
  • Maintain awareness of any laws and regulations relevant to the
Group.


QUALIFICATIONS & EXPERIENCE**:


  • LLB, Postgraduate qualification in Compliance/ Compliance management
  • Knowledge and understanding of the Companies Act, 2008, King IV and JSE Listings Requirements
  • At least 35 years post qualifying experience in a company secretarial and compliance role
  • Knowledge of: CIPC; Diligent/ Board PAC/ Greatsoft; POPIA; PAIA
  • CISA/ CGISA qualified advantageous
  • Corporate governance experience (in a listed environment advantageous)
