Responsibilities:


  • Assist in providing clients with advice and guidance on the Companies Act, corporate governance best practice and principles (King IV Report), and related applicable legislation.
  • Provide effective administration for all client board meetings (AGM, board meetings, etc).
  • Draft meeting agendas, in consultation with board chairperson and directors.
  • Ensure the collation and dispatch of board papers and support to members and invitees timorously.
  • Draft and review minutes and maintain minutes book, directors' interests register.
  • Assist in preparing board resolutions and file them accordingly.
  • Ensure and track timely CIPC filing of all statutory returns.
  • Prepare and track board action items/matters arising list.
  • Facilitate annual board evaluation.
  • Use board management software (i.e, OnBoard).

Requirements:


  • LLB or BComm degree in Human Resources or similar field.
  • Good understanding of corporate entities and corporate governance.
  • Excellent verbal and written communication skills.
