Job Summary:

Oversee and manage all contractual agreements that the company enters in to with its clients, vendors, partners and lenders.

The primary duties of the contracts manager include negotiating, drafting (with the assistance of external advisors), reviewing, and executing contracts that are in compliance with applicable laws and regulations.

Ensure that all contracts are properly stored and managed, and that the company is fulfilling all of its contractual obligations.

Liaise with corporate to ensure that the contracts and applicable clauses are on standard with the expectations from stakeholders.


Key Responsibilities:


  • Support the Development Team during the bidding phase to prepare term sheets and other relevant documentation linked to EPC
  • Engineering, Procurement & Construction and O&M Contractors
  • Negotiate contracts with Contractors after project award.
  • Lead and direct all contractual aspects of executing the project including legal risk assessment
  • Having detail knowledge of the Power Purchase Agreement, EPC Contract, O&M Agreement and various Project Agreements/permits/consents and manage the stakeholders effectively in line with the contract
  • Be effective in responding to the correspondences from various counter parties and ensure the interest of the Company is protected.
  • Interfaces with senior management team, finance and legal personnel to meet overall project deliverables
  • Monitors and manages the Company's various registration documents, certifications, construction permits, project related permits and work actively to ensure timely renewals
  • Identify risks (legal and contractual but also operational, commercial, financial, etc.) and propose corrective measures in compliance with the contract
  • Analyze the evolutions of the project and the contractual incidences, identify the commercial levers allowing in particular the improvement of the margin of the operation
  • Assess opportunities to improve contract performance and security.
  • Analyze the indicators and organizational processes of the project that may impact its security
  • Ensure the treatment of contractual discrepancies as soon as possible and their impacts
  • Participate in contractual exchanges with customers, suppliers and service providers
  • Perform regular contract/agreement maintenance, making sure that all requirements of the agreements are still being adhered to, updating annexures as required and creating addendums as required
  • Assist the various operations teams in dayto day (and adhoc) legal questions and concerns pertaining to the various vendor, supplier and partnership agreements

Technical Skills:


  • Mastery of the technical, contractual, legal and financial aspects of a contract in energy efficiency, photovoltaic and energy service
  • Experience in the renewable energy sector, construction projects and/or commercial law
  • Number of years of experience required: 23 years post articles minimum.
