Job Advert Summary:


Clover is looking for a Manager: Legal Services to provide legal counsel to all the Business Units, whilst anticipating and acting against legal risks facing the Company and provide general legal support to the Company.


Minimum Requirements:


  • LLB (with Articles)
  • Qualified Attorney
  • Business English: Fluent
  • Experience in working with senior management
  • Computer literacy (Intermediate)

Duties and Responsibilities:


Manage Commercial Contracts

  • Draft all commercial agreements including but not limited to sale of business, sale of shares, shareholders agreements, and marketing agreements etc.
  • Manage and review various commercial contracts for purposes of identifying the group company's rights, obligations and risk
  • Prepare various commercial contracts in relation to projects undertaken in various African countries including manufacturing agreements, sales and distribution, agency agreements, advertising agreements

Provide Legal Services and support

  • Provide ongoing legal counsel, guidance and support to the Company on various commercial issues
  • Provide legal advice, opinions, documents and presentations to business to mitigate litigation risks
  • Anticipate legal risks facing the Company, provide the necessary legal recommendations and action accordingly
  • Provide ongoing legal counsel with respect to managing the Company's brands and trademarks
  • Provide Legal support for all Mergers and Acquisitions (including drafting of the necessary contracts, legal due diligence, liaising with external competition lawyers and the necessary regulatory bodies)
  • Lead the undertaking of both the Consumer Protection Act and Competition Act electronic assessments and training
  • Assist with implementation of POPI in the Company
  • Support the Company by transferring legal knowledge and skills to improve legal understanding
  • Draw up contracts and improve the contracts system in collaboration with IT
  • Liaise with the necessary external lawyers regarding various legal issues in mitigating risk
  • Coordinate the litigation process including but not limited to providing ongoing support in relation to various litigious matters including litigation mitigations processes such as settlements

Assist with the Company's secretarial duties

  • Ensure Legal department perform well during the year under review. Ensure all board and committee meetings takes place effectively and all board packs etc. have been distributed timeously
  • Facilitate all board and committee meetings to ensure they take place on time and effectively with all board packs etc. Being distributed timeously
  • Maintain the Statutory Records to ensure they are on time and accurate with resolutions prepared on time and as per requirements
  • Manage the auditing of statutory records by external auditors ensuring that material matters are proactively addressed
  • Maintain functional governance, policy, legal and ethics framework for effectiveness
  • Improve legal communication and productivity across the Company

Provide legal support to Marketing

  • Draft various commercial contracts for the department including but not limited to agency agreements, advertising agreements, services agreements, ambassador agreements, influencer agreements
  • Advise on various regulatory issues including intellectual property and competition law
  • Liaise with external lawyers regarding various trademark related issues and competition law issues
