Minimum Requirements:


  • Sound knowledge of the Companies Act and King IV;
  • Sound knoweldge of corporate law and corporate governance principles;
  • Ability to write accurate minutes which are a true reflection of meeting proceedings;
  • Ability to facilitate multidisciplinary projects at any given time;
  • Ability to delegate and manage compliance processes insofar as necessary;
  • Welldeveloped communication and presentation skills;
  • Analytical and problemsolving skills;
  • Report writing skills;
  • Sound interpersonal skills;
  • Exceptional planning and organizing skills;
  • Highest level of intergrity and good judgement;
  • Excellent computer skills;
  • CIS qualification will be advantageous; and
  • Attention to detail.

Governance:


  • Attend board and committee meetings, prepare minutes and resolutions, prepare round robin resolutions as required;
  • Stay abreast of industry developments and regulatory and legislative changes in relation to corporate governance;
  • Provide proactive guidance inside and otside of the boardroom;
  • Ensure that the Company's statutory registers and other official related records/documents are correct and up to date;
  • Draft all company resolutions, obtain signatures and file;
  • Provide Best Practice advice in line with regulations and other governance codes;
  • Conduct and prepare draft Board Evaluation Reports for circulation;
  • Analyse and prepare Focus Area Reports for clients based on the Board Evaluation Outcomes;
  • Review and draft Board and Committee Charters as required for clients;
  • Ability to manage demands from various stakeholders and clients; and
  • Ability to train Directors on their duties and requirements.

Duties and Responsibilities:


  • Maintain oversight of a portfilio of clients, ensuring efficient administration of client matters;
  • Assist wit the management of projects and client takeon processes; and
  • Maintain strong relationships with exiting clients by becoming a key contact person.
