• Coordinating and attending director and committee meetings for We Buy Cars and SA Taxi, 2 major
subsidiaries of Transaction Capital Limited which includes:
• Drafting agenda and recording minutes for the allocated meetings;
• Compiling summary of decisions taken at meetings;
• Compiling, maintaining and distribution of meeting material/presentation;
• Drafting and maintaining a register of resolutions; and
• Ensuring senior management is made aware of decisions timeously for implementation.
• Coordinating the annual board performance evaluations
• Draft and distribute annual company secretarial calendar to all relevant parties.
• Maintaining all statutory required registers, documents and records.
• CIPC filings – timely lodgement of statutory filings – directors/secretary appointments etc. and lodging of
annual returns for all subsidiary companies.
• Timeously updating and amending of the Memorandum of Incorporation as required.
• Drafting of resolutions and delegation of authority letters.
• Preparation and dissemination of announcements to the JSE.
• Close Period Notifications: ongoing timely notification of all affected employees, management and directors of the Company's closed periods including updating of the list of relevant persons.
• Responding to queries from internal and external stakeholders including auditors and KYC processes.
• Managing activities relating to investments in other companies including preparation of documentation for
attendance at shareholder’s meetings and appointment of directors to the boards of such companies.
• Preparing and lodging the required documentation for deregistration/liquidation of subsidiary companies as
and when required.
• Updating and maintaining directors’ declarations of interest on a quarterly basis.
• Contribute to the completion of sections of the integrated report, annual financial statement and notice of meeting as well as management of the annual general meeting.

• Preparation of pleadings, discovery, memoranda, briefs to counsel, correspondences and other legal
documents under supervision of the principal attorney.
• Attended client interviews, labour court hearings, mediation and arbitration hearings and dispute adjudication boards and assisted with the preparation of the documents required for the aforesaid.
• Pro-bono assistance provided at the domestic violence help desk at the Randburg Magistrates Court.
