Senior Corporate Paralegal/Company Secretary required to manage all aspects of company secretarial, paralegal and associated matters for group companies across all departments/regions.

Based in Sandton.


Requirements:


  • Bachelor's degree in law.
  • Paralegal certificate will be advantageous.
  • A minimum of 6 years' professional experience in a corporate legal department of an international company as a Paralegal or a Company Secretary
  • Fluent in English and either Spanish/French (excellent writing and speaking skills)
  • Excellent organisation, documentation management and computer skills
  • Strong communication skills with a teamplayer attitude
  • Accurate, attention to details and conscientious
  • Ability to work in a fastpaced environment, react quickly in a timepressured environment and meet deadlines
  • Ability to work with remote teams/management
  • Autonomous and proactive
  • Ability to travel

Duties and Responsibilities:


  • Ownership of the administration and management of all paralegal/corporate secretarial matters for a portfolio of around 50 companies in over 20 jurisdictions.
  • Drafting and reviewing simple agreements such as NDAs, general terms and conditions, inertcompany service agreements, loan agreements, etc.
  • Participation in boards/committees, taking board/committee minutes and drafting of board/shareholder resolutions for the head office and group companies
  • Coordinating legal projects and ensuring timely flow of information and proper communication between internal stakeholders and external lawyers
  • Supporting mergers and acquisitions, business development projects, including organization of due diligence materials, drafts, and closing documents
  • Assisting in the periodical restructuring of the group of companies including establishment of company closure and incorporation, change of names, mergers and transfers (and if necessary, liaise with banks)
  • Taking responsibility for general Legal Department secretarial works such as legal filing (physical and electronic), reorganization of physical filing, obtaining signatures, organising meetings, invoices, notarization/legalization of documents and preparing/keeping uptodate lists
  • Supporting litigation matters and claims including liaising/following up regularly with external lawyers and internal stakeholders. Coordination of litigation reporting
  • Maintaining regular communications with management/board members of all joint ventures and establishing excellent working relationships with them
  • Liaising with external corporate agents/secretaries/lawyers and ensure compliance with local legal corporate requirements in different jurisdictions
  • Liaising with and supporting internal group functions (including finance, HR, IT, etc.)
  • Any other administrative task which might be allocated from time to time including but not limited to, document notarization, travel booking and meeting organization
