Key Performance Area:


  • Collate meeting packs and draft agenda
  • Attendance at Board and Committee meetings
  • Drafting of minutes / matters arising and coordinating feedback from the directors on the minutes
  • Statutory Documentation (oversight / management capacity)
  • Preparation (and filing with CIPC) of all required statutory documentation in terms of the Companies Act 71 of 2008, in accordance with the procedures set out in the COSEC Procedures Manual
  • Preparation of Directors' declarations of interest
  • Drafting of Terms of Reference, Board / Committee Charters, Policies
  • Stay abreast of industry developments and regulatory and legislative changes, including King Codes on Corporate Governance, Companies Act 71 of 2008 and JSE Listings Requirements
  • Updating the company organogram
  • Responsible for the preparation of all Board resolutions
  • Involvement in special projects (acquisitions) i.e.) due diligence, preparation of all Board resolutions with regards to the execution of legal agreements
  • Provide input into projects initiated outside of the strategy that requires input and support
  • Oversight of the offshore legal entities in various jurisdictions
  • Attend to the change in financial year end, change in registered office address, change in directors, change of name of the company, change in auditor
  • Lodgement of annual returns
  • Attending to the amendment of a Memorandum of Incorporation
  • Attend to the transfer and allotment of shares
  • Transfer skills to ensure staff development

Minimum Requirements:


  • Bachelor of Commerce (Finance or Law)
  • ICSA International Board Exam is preferred
  • Minimum of 5 years of seasoned experience in a Company Secretary function
  • Significant experience with all relevant statutory and regulatory matters, such as the Companies Act, King IV and JSE requirements (advantageous)
  • Microsoft Office: Word and Excel
  • Company secretarial software packages
  • King Codes of Corporate Governance
  • Thorough knowledge of the Companies Act 71 of 2008 (essential)
  • JSE Listings Requirements (advantageous)
  • Excellent organisational and prioritisation skills
  • Strong oral and written communications skills
