Deputy Head of Legal - Mining - Johannesburg


Introduction:

Our client is an international mining company with mines across Africa. They are looking for an experienced Deputy Head of Legal to join their Johannesburg team.

The incumbent will be responsible for developing and maintaining an effective legal, governance, legal and compliance policy management, and company secretarial function within the organization, and ensure prudent risk management across the organization.

Duties & Responsibilities:


General:


  • Manage the legal, corporate governance, compliance, and risk responsibilities
  • Function as company secretary
  • Function as general legal advisor
  • Be able to draft and review a wide variety of contracts in Procurement and Marketing, leases, employment, media, IT services, Treasury such as loan facility agreements and vetting of bank guarantees, Nondisclosure agreements, and breach of contract and dispute resolution letters.
  • He/she must manage various litigation matters with the assistance of external law firms.
  • The incumbent will assist in the management of the company's ESOP, Rehabilitation and Nature Reserve Trusts.
  • The Deputy Head of Legal will the contact person and coordinator on the Minerals Council of South Africa as well as the company's Advisory Council.
  • He/she will assist in the preparation of board and shareholder resolutions as well as coordination with Directors and shareholders in the approval and sign
- off of the same and training of Directors for their duties (when required).

  • He/she will attend to drafting operational policies & procedures, and conducting policy reviews, to align with the Group & external regulatory needs.

Qualifications:


  • Must have an appropriate Legal Degree
    (BA Law, B.

Comm Law, LLB):


  • Be an admitted Attorney
  • Minimum of 10 years post admission experience in a legal advisory role.
  • He/she must have previous mining business environment experience, specifically contract drafting and review, and indepth knowledge of SA mining laws and regulations coupled with standard business law knowledge.

Experience:

- strong written and verbal communication skills,
- a keen eye for detail,
- analytical skills with the ability to work independently in a highly regulated environment (i.e. mining industry),
- the ability to comfortably make clear, rational and timely decisions in the best interests of the company, consistent with available facts and applicable laws and regulations,
- strong work ethic coupled with the ability to consistently maintain a high level of service, quality, responsiveness, efficiency and professional ethical standards, and effective engagement and co-operation with peers, company stakeholders, operations, vendors and contractors.
